1. ACCEPTANCE OF TERMS THROUGH USE
1.1 By using this Service, you agree to all terms, conditions, and notices contained herein. VisionNet Solutions Inc. (herein referred to as VisionNet) reserves the right, at its sole discretion, to terminate your access to all or part of the Service if you are in breach of the following conditions:
1.1.1. Non-payment of membership fees (if applicable);
1.1.2. Gross misconduct of duties in not following registration guidelines;
1.1.3. Full compliance with VisionNet Code of Conduct.

2. VisionNet’s PROPRIETARY RIGHTS
2.1 You acknowledge and agree that all content and materials available to you through this Service are protected by Intellectual Property rights and laws. Reproduction, copying, or redistribution for commercial purposes of any materials or design elements obtained through the Service is strictly prohibited without the express written permission of Intellectual Property owner.
2.2 Any material (media files i.e. video, images) uploaded to VisionProject online production centre (Project Room) remains the intellectual property of the contributor.
2.3 You acknowledge and agree that the Service and any necessary software ("Software") used in connection with the Service contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You further acknowledge and agree that Content contained in sponsor advertisements or information presented to you through the Service or advertisers is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by VisionNet advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part.
2.4 VisionNet grants you a personal, non-transferable and non-exclusive right to use its Software; provided that you do not (and do not allow any third party to) copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service. You agree not to access the Service by any means other than through the interface that is provided by VisionNet for use in accessing the Service.

3. MODIFICATIONS TO SERVICE
3.1. VisionNet reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that VisionNet shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

4. DISCLAIMER OF WARRANTIES
4.1. You expressly understand and agree that:
4.1.1. Your use of the Service is at your sole risk. The Service is provided on an “as is” and “as available basis”. VisionNet expressly disclaims all warranties, representations and conditions of any kind, whether express or implied warranties, representations and conditions of merchantability, fitness for a particular purpose and non-infringement.
4.1.2. VisionNet makes no warranty that (i) the Service will meet your requirements, (ii) the results that may be obtained from the use of the Service will be accurate or reliable, (iii) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, and (iv) any errors in the Software will be corrected.
4.1.3. Any material downloaded or otherwise obtained through the use of the Service is obtained at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of any such material.
4.1.4. No advice or information, whether oral or written, obtained by you from VisionNet or through or from the Service shall create any warranty not expressly stated in the TOS.
4.1.5. The sale and redistribution in any form of material for which you are not the copyright owner is prohibited.

5. LIMITATION OF LIABILITY
5.1. YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
5.1.1. VisionNet shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses (even if VisionNet has been advised of the possibility of such damages), resulting from: the use or the inability to use the Service, the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the Service; unauthorized access to or alteration of your transmissions or data; statements or conduct of any third party on the Service; or any other matter relating to the Service.
5.1.2. Under no circumstances shall VisionNet, its subsidiaries, affiliates, owners, or its representatives be liable for any direct, indirect, incidental, special, consequential, or exemplary damages that result from the use of, or inability to use, the Service. This limitation applies even if VisionNet has been advised of the possibility of such damage. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; VisionNet’s liability in such jurisdictions shall be limited to the maximum extent permitted by law.

6. INDEMNIFICATION
6.1. You shall defend, indemnify and hold VisionNet and its owners, subsidiaries and other affiliated companies, and their employees, contractors, officers, and directors harmless from all liabilities, claims, and expenses, including attorney's fees resulting from your use or misuse of the Service.

7. THIRD PARTY SITES
7.1. Your use of the Service may link you to other sites on the Internet. These sites may contain information or material that some people may find inappropriate or offensive. These other sites are not under the control of VisionNet, and you acknowledge that VisionNet is not responsible for the accuracy, legality, decency, or any other aspect of the content of such sites. The inclusion of such a link does not imply endorsement of the site by VisionNet.

8. TECHNICAL SUPPORT FOR THE MEMBER
8.1. Subject to the limitations contained in this Agreement, VisionNet shall provide you with technical support in the use of the Service.
8.2. You agree that you are responsible for the uploading of images to your Administration Area and the maintenance of your Administration Area.
8.3. VisionNet’s obligation to provide technical support is limited to VisionNet software only. VisionNet is not obliged to provide instruction on the operation of a computer or its operating system or programs installed on the computer (e.g. Internet Explorer). Such instruction is available but at an hourly rate over and above the terms of agreement.

9. RULES OF CONDUCT
9.1. You agree not to use the Service for unlawful purposes or in an offensive manner, including, without limitation, usage that (i) is threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another's privacy, tortuous, or (ii) contains language (sexual or otherwise) of a violent or threatening nature directed at another individual or group of individuals, or victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability.
9.2. You shall also be prohibited from usage that infringes any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party (collectively, "Intellectual Property").
9.3. You shall not introduce any software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party.
9.4. You further agree that you will not knowingly solicit or collect personal information from a minor (anyone under 18 yrs old) without appropriate prior verifiable parental consent.
9.5. The VisionNet makes no representation that materials accessed through the Service are appropriate or available for use in locations outside Canada, and accessing them from territories where their contents are illegal is prohibited.

10. YOUR REGISTRATION OBLIGATIONS, MEMBER ACCOUNT, PASSWORD AND SECURITY
10.1. In consideration of your use of the Service, you agree to: (i) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration Data") and (ii) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or VisionNet has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, VisionNet has the right to suspend or terminate your membership and refuse any and all current or future use of the Service (or any portion thereof).
10.2. You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to: (i) immediately notify VisionNet of any unauthorized use of your password or account or any other breach of security; (ii) ensure that you exit from your account at the end of each session.
10.3. VisionNet cannot and will not be liable for any loss or damage arising from your failure to comply with Sections 9.1 and 9.2.
10.4. VisionNet complies with the CSA Model Code and the Personal Information Protection and Electronic Documents Act. Please see Section 11.

11. SPECIAL ADMONITIONS FOR INTERNATIONAL USE
11.1. Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from Canada or the country in which you reside.

12. PRIVACY
12.1. VisionNet respects the privacy of our clients. If you are a VisionNet client, VisionNet has some basic information about you. We understand that some of this information is private, which is why we collect personal information for the following purposes only:
12.1.1. To establish and maintain a responsible commercial relationship with you and to provide ongoing service. For example, when you apply for service, we collect information that allows us to confirm your identity and credit history so that we can accurately bill and collect for the products and services that you receive from us. We may collect credit card information, for the convenience of pre-authorized payment for services.
12.1.2. To understand your needs and preferences. We maintain a record of the products and services you receive from us, and we may ask for additional information so that we can serve you better. For example, we will ask for your e-mail address, if you wish to pay your bills electronically.
12.1.3. To develop, enhance, market or provide products and services. For example, we look at how our customers use our products and services, so that we can understand how to improve them. From time to time, we may review and analyze your use of our service to help us provide recommendations as to better and more efficient use of our service.
12.1.4. To manage and develop our business and operations. For example, we analyze customer usage of our networks and facilities to help us manage them efficiently and plan for future growth.
12.1.5. To meet legal and regulatory requirements. For example, we may collect information in response to a court order, or to satisfy a request by the Canadian Radio-television and Telecommunications Commission (the "CRTC") for information about a customer complaint and how it was resolved.
12.2. VisionNet may need to disclose some personal information about our customers in a variety of circumstances:
12.2.1. VisionNet may disclose a customer's personal information to a person who, in the reasonable judgment of VisionNet, is seeking the information as an agent of the client. For example, we may provide information about a client's account to the client’s legal representative if we are satisfied that that individual is requesting the information on behalf of the client.
12.2.2. Subject to applicable CRTC regulations, customer information may be shared among VisionNet business units to help us serve our clients better and to provide them with services which combine services from different parts of our organization.
12.2.3. VisionNet may disclose a client’s personal information to an agent used by VisionNet to evaluate the customer's credit worthiness or to collect the customer's account. Any such disclosure of a customer's personal information outside of VisionNet is made on a confidential basis with the information to be used only for the purpose for which it was disclosed.
12.2.4. VisionNet may disclose personal information to an agent acting on behalf of a production company if and only if that agent has successfully demonstrated to VisionNet that they are a legitimate member of the film industry, are acting on behalf of a legitimate production company, are requesting information for the sole purpose of booking a location and have agreed to the TOS.
12.3. In order to protect your personal information and your right to privacy, VisionNet: (i) will not collect, use or disclose your personal information for any purpose other than those identified above, except with your consent; (ii) will protect your personal information with appropriate security safeguards; (iii) will protect the confidentiality of your personal information when dealing with other companies; (iv) will strive to keep your personal information as accurate and up-to-date as is necessary for the purposes identified above; (v) will honour any request you may make for access to your personal information.
12.4 VisionNet feels it is a reasonable goal for a contributor to reply to a request for contact information within 24 hours.

13. REVISIONS
13.1. The VisionNet reserves the right, at its sole discretion, to update and/or revise these terms.
